Overview

This opportunity is primarily “work from home,” but should be based within driving distance of the Okemos, MI or Chicago, IL office for in office attendance when needed.

 

Job Summary

The Contracts Manager is responsible for the contracting lifecycle processes of HMA clients across the enterprise.  Primary responsibilities include assisting with the development and facilitation of contracting policies, negotiating, reviewing, and editing contracts and other assigned documents in accordance with company policies.  Additional responsibilities include researching statutory and regulatory clauses, working collaboratively with other team members, ensuring contract and document compliance, maintaining contract information, and assisting with template and process revisions as required.

Work Performed and Job Requirement

  • Contract Lifecycle Management
    • Assists with the contracting lifecycle process for all HMA projects and clients, including pre-contract (proposal, negotiation, formation, and approval), contract steady state (amendments, change orders, correspondence, compliance, and tracking), and post-contract stages (renewal, extension, and closeout).
    • Collaborate with HMA Project Managers to ensure contract compliance and proactively address the need for amendments and modifications.
  • Policy and Process Development
    • Supports the identification, development, and implementation of new contract policies and processes, focusing on scalability, systems, and automation.
  • Acquisition and Integration Support
    • Assist with acquisition due diligence, onboarding, and integration of new entities in collaboration with the director, senior director, and executive leadership.
  • Drafting and Managing Agreements
    • Draft, negotiate, and maintain various agreements, including subcontractor, vendor, nondisclosure, teaming, consulting, and business associate agreements, using approved templates.
    • Establish processes to track and manage subcontractor and vendor contracts efficiently.
  • Solicitation and Proposal Coordination
    • Review solicitations and RFPs in collaboration with the Proposals Team, ensuring HMA’s compliance with standard language and templates, suggesting alternative language where needed.
    • Coordinate with Project Managers and the Proposals Team to ensure a seamless transition from proposal submission to contract execution.
  • Information and Document Management
    • Enter and maintain contract information in HMA’s database (Deltek Vantagepoint) and organize contract files meticulously.
    • Maintain and use the contracts ticketing system for managing requests and processing documents through DocuSign for electronic signatures.
  • Template Management
    • Maintains and enhances HMA contract templates, boilerplate language, and materials, and utilizes the contracts ticketing system to handle requests efficiently.
  • Knowledge Maintenance
    • Stay updated on relevant contractual procedures and practices.
    • Provide guidance and mentorship to team members as needed, fostering development within the team.
  • All other duties as assigned.

Qualifications

Education/Training

Minimum of a bachelor’s degree in business or related discipline is required.  NCMA Certification is preferred.

 

Experience

Minimum of 7 years of working experience with contracts and/or legal in a professional services firm, including familiarity with commercial and government contracting principles and regulations. Experience with Salesforce CRM, Ironclad contract management software, and/or Deltek Vantagepoint ERP software for professional services firms preferred.   

 

Knowledge, Skills, and Abilities

  • Knowledge of standard and complex terms and conditions in contracts; understanding of the legal implications of contract provisions; familiarity with contract law and principles; skilled at reviewing and redlining terms & conditions and identifying risk areas.
  • Experience managing the full lifecycle of government and commercial contracts.
  • Proficiency in Microsoft work and the ability to learn and use other computer programs. Knowledge of SharePoint, Microsoft Teams, and Deltek Vantagepoint is preferred.
  • Knowledge of drafting and negotiating agreements and amendments using approved templates gained through relevant prior work experience.
  • Excellent verbal and written communication skills; the ability to professionally communicate and coordinate with a wide range of external clients and internal management and administrative personnel while maintaining a high standard of customer service and satisfaction.
  • Must be very organized, with strong attention to details and priority management skills to meet conflicting deadlines.
  • Ability to make decisions using sound judgment, while complying with internal policies and applicable state and federal laws and regulations.
  • Ability to manage multiple concurrent projects and motivate staff while adhering to strict deadlines.
  • Ability to manage numerous recurring responsibilities with unpredictable short-term demands and flexibility to be able to switch gears quickly from one project to the next.
  • Capable of handling confidential information in a discrete manner.
  • Ability to listen to and understand information and ideas presented through spoken words and sentences.
